Terms of Service

1. Agreement to these Terms

These Terms of Service (“Terms”) govern your access to and use of vidforge.tv and the VidForge application (the “Service”), operated by VidForge (“VidForge”, “we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 13 years old (16 in the EEA and UK) to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Your account

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Provide accurate information when you register, and keep it current. Notify us at security@vidforge.tv if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms.

4. The Service and YouTube API

VidForge provides AI-assisted tools for YouTube creators, including title scoring, description and tag generation, channel audits, keyword research, and related features. Some features use the official YouTube Data API and YouTube Analytics API, accessed through Google OAuth with your authorization.

By connecting your YouTube channel, you also agree to the YouTube Terms of Service and acknowledge the Google Privacy Policy. You may revoke VidForge's access at any time from your Google Account permissions page. VidForge accesses your channel on a read-only basis and never posts, edits, or deletes content on your behalf.

VidForge is an independent product. It is not affiliated with, sponsored by, or endorsed by YouTube or Google.

5. AI-generated output

Subject to these Terms, you own the output VidForge generates from inputs you provide (such as titles, descriptions, and critiques) and may use it as you see fit, provided your use complies with these Terms, the YouTube Community Guidelines, and applicable law.

AI output can be inaccurate or incomplete. We do not warrant that any output is correct, and we do not guarantee any outcome — including increases in views, subscribers, click-through rate, or revenue. You are responsible for reviewing all output before you rely on or publish it.

6. Acceptable use

You agree not to use the Service to:

  • Generate or distribute misleading, defamatory, harassing, hateful, or sexually explicit content.
  • Violate the YouTube Community Guidelines, or attempt to manipulate the YouTube algorithm with deceptive or artificial engagement.
  • Impersonate any person or misrepresent your affiliation with anyone.
  • Reverse-engineer, decompile, or attempt to extract the source code or underlying models of the Service.
  • Scrape the Service, or build a competing product using the Service or its output.
  • Create multiple accounts to evade credit limits or rate limits, or otherwise abuse the Service or its APIs.
  • Resell, sublicense, or provide access to the Service without our written permission.
  • Infringe any third party's intellectual property or other rights.

We may suspend or terminate accounts that violate this section.

7. Plans, credits, and billing

The Service offers a free tier with a limited allowance of AI credits, and paid subscription plans with larger allowances and additional features. Tools consume credits per run. Credits have no cash value, are not transferable, and are not redeemable for money. Current plan prices, credit allowances, and feature lists are shown on our Pricing page, which forms part of these Terms.

Paid subscriptions are billed through Stripe and renew automatically each billing period until cancelled. We email a reminder before each renewal. You may cancel at any time from billing settings; you keep paid features through the end of the period you have already paid for.

Refunds. Within 14 days of an initial paid charge, email support@vidforge.tv for a full refund. After 14 days, charges are non-refundable except where required by law. Nothing in this section limits the mandatory consumer rights you may have in your country of residence.

8. Intellectual property

The Service — including its software, design, branding, and content we create — is owned by VidForge and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service. They do not transfer any ownership of the Service to you.

9. Disclaimers and limitation of liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT AI OUTPUT WILL BE ACCURATE OR ERROR-FREE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR SECURE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDFORGE'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) USD $100 OR (B) THE AMOUNT YOU PAID VIDFORGE IN THE 12 MONTHS BEFORE THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA.

You agree to indemnify and hold VidForge harmless from claims, damages, and expenses arising out of your content, your use of the Service, your violation of these Terms, or your violation of any third-party right, including the YouTube Community Guidelines.

10. Termination

You may close your account at any time from Settings. We may suspend or terminate your access if you violate these Terms or to protect the Service or other users. Sections 5, 8, 9, and 11, and any provision that by its nature should survive, survive termination.

11. Changes, governing law, and contact

We may update these Terms from time to time. For material changes, we will notify account holders by email at least 7 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance.

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and any dispute will be resolved in the state or federal courts located in Delaware. Nothing in these Terms limits any mandatory consumer-protection rights you have under the laws of your country of residence.
